Terms of Business

Effective 1-4-2017 onwards

1. Scope & Acceptance

1.1 These Terms of Business (“Terms”) govern every quotation, sale, and delivery of products (“Products”) by Vankon Modular Pvt. Ltd. (“Vankon,” “we,” “our”) to any purchaser (“Customer”) unless superseded by a separate written agreement. Placing an order constitutes full acceptance of these Terms.

1.2 Tacit Acceptance. If an invoice is issued in the Customer’s name and the Products are delivered, and the Customer fails to lodge a written objection or complaint within 2 days of receipt, the Customer shall be deemed to have accepted (a) the invoice as correct and (b) the Terms of Business published on Vankon’s website or otherwise made available, in full and without reservation.

2. Quotations & Pricing

Prices are in Indian Rupees, exclusive of GST, freight, and insurance, and remain valid for 7 days unless otherwise stated.
Vankon may correct typographical errors or adjust prices to reflect raw-material cost fluctuations up to the point of order confirmation.

3. Orders & Payment

Minimum order value Rs 1000. Orders below this will be accepted only at the discretion of the company.

Payment terms : Against delivery of goods.Credit upto 45 days shall be provided to bulk order customers at the sole discretion of the company.

Late-payment interest : 18% p.a. on overdue balances in line with MSME Act

Payments must be made by bank transfer, NEFT/RTGS, cheque, or any method agreed in writing. Cash will not be accepted as mode of payment for any invoice. Title to the Products passes only after full payment is received.

4. Delivery & Risk

Delivery dates are estimates.
Risk of loss transfers to the Customer upon dispatch from Vankon’s warehouse or when handed to the carrier (whichever occurs first).
Transit shortages or visible damage must be reported in writing within 48 hours of receipt; concealed damage within 7 days.

5. Returns & Cancellations — All Sales Final

5.1 No Returns or Exchanges. Goods once sold will not be taken back, returned, exchanged, or refunded under any circumstances whatsoever.

5.2 Order Cancellation. Confirmed orders may not be cancelled, modified, or postponed by the Customer without Vankon’s prior written consent, which Vankon may withhold at its absolute discretion.

6. Intellectual Property

All trademarks, designs, drawings, and documentation remain the exclusive property of Vankon Modular Pvt Ltd . No licence is granted beyond the normal use or resale of Products.

7. Limitation of Liability

7.1 Sole Remedy. To the fullest extent permitted by applicable law, the Customer agrees that Vankon Modular Pvt. Ltd.’s entire aggregate liability for any claim, loss, or damage arising out of or relating to the Products or these Terms—whether in contract, tort (including negligence), strict liability, statutory duty, or otherwise—shall be limited exclusively to, at Vankon’s option, (a) replacement of the specific defective Product, or (b) refund of the purchase price actually paid for that Product.
7.2 Exclusion of Other Damages. Under no circumstances shall Vankon be liable for:
(a) loss of or damage to any other material, equipment, or property;
(b) loss of production, revenue, profit, contracts, goodwill, or data; or
(c) any indirect, incidental, special, punitive, or consequential damages whatsoever.
7.3 No Liability for Personal Injury or Death. The Customer further agrees that Vankon shall have no liability for any injury, health impairment, or loss of life arising out of or relating to the Products or their use.
7.4 Mandatory Legal Limits. Nothing in this Section 7 excludes or limits any liability that cannot legally be excluded or limited under Indian law, and any term found void or unenforceable shall be severed without affecting the validity of the remaining provisions.

8. Force Majeure

Vankon is not liable for any delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, strikes, pandemics, governmental restrictions, or supply-chain disruptions.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts at Mumbai, Maharashtra.

10. Updates

Vankon may amend these Terms at any time by posting the revised version on its website. Changes apply only to orders placed after the posting date.
